Software License

This Software License Notice describes the rights and restrictions that apply to your use of the SupplySwap software and related technology. It should be read together with our Terms & Conditions and any separate written agreement between you (or your organization) and SupplySwap.

By accessing or using the SupplySwap platform, you agree to the license terms outlined below, in addition to other applicable terms.

1. License grant

Subject to your compliance with applicable agreements and this notice, SupplySwap grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the SupplySwap platform (including the website, web application, mobile applications, and underlying software, collectively the "Software") solely for your internal business purposes or as otherwise expressly authorized in writing by SupplySwap.

This license does not transfer any ownership rights in the Software or any related intellectual property to you. All rights not expressly granted are reserved by SupplySwap and its licensors.

2. Permitted use

You may use the Software to:

• Access and manage your SupplySwap account and any authorized business locations.
• Create, view, and manage listings, offers, and related content as part of using the Platform.
• Interact with other authorized users and organizations via features such as messaging, offers, and network participation.
• Generate and view reports, dashboards, and analytics made available to you within the Platform.

3. Restrictions

Except to the extent such restrictions are prohibited by applicable law, you may not:

• Copy, modify, adapt, translate, or create derivative works based on the Software or any portion thereof.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or file formats of the Software.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices within the Software or related materials.
• Rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party (except as expressly authorized in writing by SupplySwap).
• Use the Software to build a competing product or service, or to benchmark or analyze the Software for competitive purposes, except as permitted under applicable law.
• Interfere with or circumvent any security or access control technology used in connection with the Software.

4. Intellectual property

SupplySwap and its licensors retain all rights, title, and interest in and to the Software, including all associated intellectual property rights (such as copyrights, trademarks, trade secrets, and patents), whether registered or unregistered.

The SupplySwap name, logo, product design, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of SupplySwap or its affiliates and licensors. You may not use such marks without prior written permission.

5. Open-source and third-party software

The Software may incorporate, bundle, or interact with third-party and open-source software components. To the extent required by their respective licenses, your use of those components is governed by the applicable third-party or open-source license terms, which may be made available within the Platform or upon request.

Nothing in this Software License Notice is intended to limit your rights under those third-party licenses or to impose additional restrictions where not permitted by such terms.

6. Feedback

If you choose to provide suggestions, ideas, feedback, or other input regarding the Software or Platform ("Feedback"), you agree that SupplySwap may use such Feedback freely, without obligation to you, for any purpose (including product development, improvement, and marketing), and you hereby assign all rights in the Feedback to SupplySwap to the fullest extent permitted by law.

7. Beta and trial features

From time to time, SupplySwap may offer beta, trial, or early-access features or services. These may be identified as experimental, beta, preview, or similar. Such features are provided on an "as is" and "as available" basis, may be subject to additional terms, and may be modified, suspended, or discontinued at any time without notice.

8. Termination of license

Your license to use the Software will remain in effect for as long as you have a valid account and are in compliance with applicable terms. SupplySwap may suspend or terminate your access to the Software (in whole or in part) if you violate this notice, our Terms & Conditions, or any applicable agreement, or if we reasonably believe such action is necessary to protect the Platform, our users, or others.

Upon termination of your license or access, you must cease all use of the Software and, where applicable, delete any copies of Software-related materials in your possession or control, except to the extent you are required to retain certain records by law or under a separate written agreement with SupplySwap.

9. No warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. SupplySwap expressly disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Certain jurisdictions do not allow limitations on implied warranties, so some of the above limitations may not apply to you.

10. Limitation of liability

To the maximum extent permitted by applicable law, SupplySwap and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Software, even if advised of the possibility of such damages.

Where liability cannot be excluded, and to the extent permitted by law, SupplySwap's aggregate liability arising out of or in connection with the Software will be limited to the greater of (a) the amounts you have paid to SupplySwap (if any) for use of the Software in the twelve (12) months preceding the event giving rise to the claim, or (b) a reasonable, objectively determined amount under applicable law.

11. Changes to this Software License Notice

We may update this Software License Notice from time to time to reflect changes in our Software, our business, or applicable law. When we do, we will update the "Last updated" date above. In some cases, we may provide additional notice or seek your consent where required by law or by our agreements with you.
